1. Agreement to Terms

By hiring Agentic Agency or using our website, you agree to these Terms of Service. If you do not agree, you may not use our services.

2. Description of Service

Agentic Agency provides custom automation architecture, software engineering, and consulting services. We build "Digital Employees" (automated workflows and agents) designed to execute specific business tasks.

3. Intellectual Property (IP) Rights

  • Client Ownership: Upon full payment of the agreed-upon project fees, you (the Client) own 100% of the intellectual property rights to the custom code, workflows, and system architecture delivered by Agentic Agency.
  • We do not lock you into a subscription to access your own code.
  • We grant you a perpetual, irrevocable, worldwide license to use, modify, and resell the system as you see fit.
  • Pre-Existing IP: Any open-source libraries or third-party tools used within the build remain the property of their respective owners.

4. Payment Terms

  • Fixed Pricing: Projects are executed on a fixed-price basis as outlined in the "Blueprint" (Statement of Work).
  • Payment Schedule: typically 50% upfront to commence the build, and 50% upon successful completion of User Acceptance Testing (UAT) and Handoff.
  • Third-Party Costs: You are responsible for the direct costs of any third-party tools required to run your system (e.g., API usage fees for OpenAI, subscription costs for Zapier/Make).

5. Warranties & Maintenance

  • 30-Day Warranty: We provide a 30-day warranty period following the Handoff. If the system breaks due to a bug in our code, we will fix it at no cost.
  • Exclusions: This warranty does not cover issues caused by:
    • Changes you make to the code or workflows.
    • Changes to third-party APIs (e.g., if Gmail changes their API endpoints).
    • Misuse of the system.

6. Limitation of Liability

  • Nature of Automation: While we strive for 100% accuracy, automated systems (especially those using LLMs/AI) can make mistakes.
  • No Liability for Business Losses: Agentic Agency is not liable for any direct, indirect, incidental, or consequential damages resulting from the use of the automation systems we build. This includes, but is not limited to, loss of profits, data corruption, or unintended messages sent to customers.
  • Human Oversight: The Client acknowledges that AI systems require human oversight and agrees to not use the system for critical life-safety or high-risk financial decisions without manual review.

7. Confidentiality

We agree to keep all non-public information obtained during the Audit and Build phases strictly confidential. We will sign a Non-Disclosure Agreement (NDA) prior to the Audit phase upon request.

8. Governing Law

These terms shall be governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.
